Introduction
These Terms of Use ("Terms") govern access to and use of the website and services operated under the name Private Tutoring by Mr. Oudai (the "Platform", "we", "us", or "our").
By browsing the Platform, creating an account, sending a guest or account enquiry, uploading tutor content, using paid tutor tools, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Nature of the Platform
Private Tutoring by Mr. Oudai is an online platform that helps students, parents, families, and other learners discover tutors, compare tutor listings, send enquiries, and manage follow-up communication.
Private Tutoring by Mr. Oudai is an online platform built primarily to help independent tutors present their skills, receive enquiries, manage client relationships, and use optional teaching and business tools.
Learner accounts are optional. A person may browse tutor listings and send a guest enquiry without first creating a learner account. Learner accounts are provided for users who want conversations, lesson records, invoices, receipts, and household learner records grouped in one place.
Guests may browse tutor listings and send a first enquiry without creating an account. Public self-signup is for tutors. Learner household accounts are free and invitation-only after a tutor saves a client relationship and sends an invitation to the household contact email.
For tutors, the Platform may also provide account tools such as public listings, availability management, identity verification review workflows, whiteboard sessions, live streaming support, short-term recording storage, invoices, receipts, analytics, client records, and membership features.
A learner household account uses one email address and password for the household. It may organise eligible conversations, classroom access, lesson records, invoices, and receipts explicitly connected through a tutor's separate saved-client record.
The Platform does not itself provide tutoring services, does not guarantee that any user will find or retain a tutor, and is not a payment processor.

No Employment or Agency Relationship
Tutors listed on the Platform are independent service providers. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between the Platform and any Tutor.
Tutors remain solely responsible for their teaching services, lesson methods, pricing, scheduling, tax obligations, regulatory compliance, and dealings with students or parents.
Eligibility and Accounts
You must be at least 18 years of age to create an account. If you use the Platform on behalf of a minor or student, you are responsible for acting with appropriate authority and supervision.

Guest enquiries may require an email address so a secure message-board link can be sent. If you create an account, you agree to provide accurate and current account information, choose the correct role, keep your login credentials secure, and remain responsible for activity under your account.
Tutors may create their own Platform accounts. A learner household account may be created only through a valid invitation sent to the household contact email supplied to the tutor. Controlling that invited email, verifying it, accepting each current required legal document, and explicitly accepting the tutor connection are required before private client records are linked.
Profile pictures are optional. We may require users to review and accept updated legal documents as part of continued Platform access.
The household may share its one password with household members it authorises. The account holder is responsible for that choice and for activity under the account. Anyone given the credentials may see eligible records available to that household account. The Platform does not presently provide separate household logins or multiple login emails for one household account.
You agree to provide accurate and current information, keep credentials from unauthorised people, and promptly correct a tutor-supplied household contact email that is wrong or no longer controlled by the household. Profile pictures are optional. We may require renewed acceptance when legal documents change.
Tutor Listings and Profiles
Tutors may create public listings containing information such as display name, headline, biography, tutoring areas, learner groups, availability, rates, contact preferences, and optional profile pictures.

Tutor listings may be hidden, restricted, or shown only to the tutor until required approval, verification, or moderation steps are complete. Credential review and verification badges reflect Platform review status only and are not a guarantee of competence, suitability, or outcomes.
A listing may become directory-eligible when the tutor account is active, its email has been confirmed under Platform rules, the tutor has a safe public name, the tutor has chosen to be listed, and no applicable moderation restriction is active. Identity-document review and identity badges are separate from email confirmation and directory eligibility.
Tutors are responsible for ensuring that all profile information, uploaded content, and public claims are accurate, lawful, and not misleading.
The default directory order may place profiles with more useful completed information, such as subjects, learner groups, rates, location, experience, and availability, ahead of sparse profiles. Missing details may place a profile lower. Paying for Tutor Membership does not buy a higher directory position.
Listings may be hidden, restricted, suspended, or removed for safety, moderation, or Platform-integrity reasons. A listing or badge is not employment, affiliation, endorsement, or a guarantee of competence, suitability, or outcomes. Tutors are responsible for accurate, lawful, and non-misleading public claims.
Lessons, Whiteboards, Recordings, Invoices and Arrangements
Lesson arrangements, teaching decisions, cancellations, refunds, and service terms are made directly between Tutors and Students/Parents/Families.

Paid tutors may use the whiteboard tool as a companion teaching workspace and may share read-only board links, live stream access, short-term recordings, or PDF lesson copies through the Platform. Tutors are responsible for obtaining any consent required before recording or sharing lesson content.
Eligible tutors may use the whiteboard as a browser-dependent companion teaching workspace and may share a relationship-specific classroom entrance, current live stream access, short-term recordings, or PDF lesson copies. A classroom entrance is a long-lived bearer link for one saved client relationship and may route to that client's current live lesson only while the tutor is actively broadcasting. The household must keep it within the intended household. The tutor may reset it, and client identity or relationship changes may invalidate it and related lesson links.
The Platform may also let paid tutors create invoices, record payments, email receipts, and save client billing records for their own administrative use. The Platform is not a payment processor, is not a party to payment disputes, and does not guarantee collection of any invoice.
Tutors are responsible for obtaining any consent required before recording or sharing lesson content. Live streaming, screen capture, recording, and delivery depend on compatible browsers, devices, networks, and third-party services and are not guaranteed.
The Platform may also let eligible tutors create invoices, record payments, email receipts, and save client billing records. After an invited household verifies and explicitly accepts a connection, eligible records explicitly linked through that tutor's saved-client relationship may appear in the learner portal, subject to email matching, authorisation checks, and stated retention limits. Private tutor notes are not shared through the learner portal.
The Platform is not a payment processor, is not a party to payment disputes, and does not guarantee collection of any invoice.
Subscriptions and Fees (Tutors)
The Platform offers Free Tutor access and one optional paid Tutor Membership.
Free Tutor access may include profile setup, listing management, availability, identity document submission, public contact settings, contact reveal controls, and on-platform enquiry messaging, subject to safety rules, moderation, and Platform restrictions.
Tutor Membership may include whiteboards, live streaming support, recording downloads, saved lesson records, invoicing, receipts, analytics, client records, and other tutor tools described on the pricing page. The current price and included features are shown before an invoice is requested.
A paid Tutor Membership is activated only after the tutor requests an invoice, completes the bank transfer using the invoice number as the transfer remark where possible, and an administrator verifies the bank transfer and marks that invoice paid. The Platform is not required to detect bank payments automatically and does not charge or renew a membership automatically. Each verified membership invoice provides 30 days of access. A verified renewal received while paid access is active begins after the existing paid period, so remaining paid time is preserved. Previously issued invoices retain the price and access period stated on those invoices.
The Platform may grant a tutor complimentary access to paid tools for a stated period or permanently. Complimentary access has no cash value, is not transferable, and ends at the displayed expiry unless it is permanent or the Platform extends it.
Subscription fees are non-refundable unless otherwise stated. We may change the price or included features with reasonable notice before a future invoice.
Acceptable Use
You agree not to engage in harassment, abuse, discrimination, scams, fraud, spam, or impersonation. You must not submit false listings, misuse enquiries, create misleading invoices or receipts, share unlawful or infringing content, attempt to bypass messaging safeguards or contact controls, or use the Platform in violation of applicable law.
You must use whiteboard links, live streams, recordings, invoice links, receipt links, and communication tools responsibly and only for legitimate tutoring-related activity.
Content and Communications
You retain ownership of content you submit, but you grant the Platform a non-exclusive licence to host, display, process, moderate, store, transmit, and delete that content as needed to operate the service.
This includes tutor profile content, messages, guest enquiry content, whiteboard content, recording metadata and files, invoice content, receipt content, client records, profile photos, support messages, identity document uploads, and other uploaded files.
The Platform may restrict abusive, unlawful, spam, or unsafe content according to safety rules or moderation controls. Tutors control whether saved public contact details can be shared through contact reveal. Identity documents are used for private review and are not published as profile content.
Moderation and Enforcement
We reserve the right, at our sole discretion, to review tutor listings, uploaded credentials, reports, whiteboard shares, invoices, and user communications.
We may remove or hide tutor profiles, redact messages, limit enquiries, disable contact reveal, restrict access to paid features, suspend or terminate accounts, or take other enforcement action where necessary to protect users, uphold legal documents, or maintain Platform integrity.
No Guarantees or Warranties
The Platform is provided "as is" and "as available". It is an early-stage service and, despite testing and maintenance, may contain known or undetected bugs, defects, errors, security weaknesses, interruptions, delays, or incomplete features. These problems may affect whiteboards, messages, live streams, recordings, files, invoices, receipts, analytics, notifications, or other Platform functions.
To the fullest extent permitted by applicable law, we exclude warranties and representations, whether express, implied, or statutory, including warranties of availability, accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation, that defects will be found or corrected, or that any stored or transmitted content will always remain available.
We also do not guarantee the accuracy of listings, tutor or student availability, response times, matching, client retention, revenue, payments, lesson outcomes, whiteboard continuity, live stream performance, recording availability, invoice or receipt accuracy, analytics, calculations, or suitability of any person for any purpose.
Limitation of Liability
To the fullest extent permitted by applicable law, the Platform and its operator are not liable for indirect, incidental, special, exemplary, punitive, or consequential loss or damage, or for loss of clients, revenue, profits, income, opportunity, goodwill, data, recordings, business continuity, or educational progress, whether foreseeable or not and even if advised that such loss might occur.
The Platform is also not liable for disputes between users, tutoring quality, user decisions, third-party browsers, networks, devices or services, live stream or recording issues, payment disputes, expired or unavailable files, or misuse of user-generated content.
Subject to the paragraph below, our total aggregate liability, if any, shall not exceed the amount paid by you to the Platform during the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms or the Disclaimer excludes or limits liability that cannot lawfully be excluded or limited, or removes any statutory or consumer right that cannot lawfully be waived. Any exclusion, limitation, or cap applies only to the fullest extent permitted by applicable law.
Indemnity
You agree to indemnify and hold harmless the Platform from claims, losses, damages, liabilities, costs, and expenses arising out of your use of the Platform, your interactions with other users, your tutoring services, your uploaded content, or your violation of these Terms or applicable law.
Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, retain, protect, and disclose personal information.
By using the Platform, you acknowledge that certain account, guest enquiry, listing, message, whiteboard, recording, invoice, and receipt information may be displayed or shared according to the workflows described in these Terms and the Privacy Policy.
Changes to These Terms
We may update these Terms from time to time to reflect changes in the Platform, the law, or our operational practices.
Updated versions may be published through the Platform and may require renewed acceptance. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Trinidad and Tobago.
Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago.
